Service Agreement

Last Updated: September 2026

This Service Agreement governs the relationship between TCN Holding and clients who purchase our digital services. It defines scope, deliverables, ownership, and responsibilities for all projects.

1. Parties and Agreement

This Service Agreement ("Agreement") is entered into between TCN Holding ("Service Provider") and the client ("Client") who purchases a service package through the TCN Holding website. By completing a purchase, the Client agrees to the terms of this Agreement. This Agreement, together with the package description at the time of purchase, constitutes the entire agreement between the parties.

2. Scope of Services

2.1 Package Deliverables

The specific deliverables, quantities, and features included in the Client's purchased package are defined on the TCN Holding website at the time of purchase and confirmed in the order confirmation. The Service Provider will deliver the services described in the purchased package — no more and no less. Any additional services outside the package scope require a separate written agreement and payment.

2.2 Scope Alignment

The scope of work is locked at the time of purchase based on the package selected. Order records snapshot the package details at the time of purchase. Any changes to package contents after purchase must be agreed upon in writing by both parties.

2.3 Project Phases

Projects proceed through defined phases: (1) Intake & Planning, (2) Design & Development, (3) Review & Revision, and (4) Final Delivery & Launch. Each phase has defined inputs, outputs, and approval checkpoints. The Client will be notified at the start of each phase.

3. Client Inputs and Cooperation

3.1 Required Inputs

The Client is responsible for providing all required inputs as specified in the project intake form, including: brand assets (logos, colors, fonts), business information, content and copy, product or service descriptions, images and media, and any other materials specified for the purchased package.

3.2 Timely Delivery

The Client agrees to provide required inputs within the timeframes specified during the intake process. Delays in providing inputs will extend the project timeline proportionally. TCN Holding is not liable for project delays caused by late or incomplete client submissions.

3.3 Accuracy

The Client represents that all information and materials provided are accurate, complete, and that the Client has the right to use them. The Client is responsible for the accuracy of all content included in deliverables.

4. Revisions

4.1 Included Revisions

Each package includes a defined number of revision rounds as specified in the package description. A revision round consists of a consolidated set of feedback submitted by the Client at one time. Multiple separate feedback submissions do not constitute a single revision round.

4.2 Revision Scope

Revisions are limited to adjustments within the original project scope. Requests for new features, additional pages, or changes that materially alter the original scope are considered new work and will be quoted separately.

4.3 Approval

Client approval of a deliverable (whether explicit or by non-response within 5 business days of delivery) constitutes acceptance. TCN Holding is not responsible for errors in client-approved materials.

5. Intellectual Property and Ownership

5.1 Deliverables

Upon receipt of full payment, the Client receives the deliverables promised in the purchased package. Ownership and licensing of deliverables follow this Agreement and any applicable third-party software terms. The Client receives the rights necessary to use the deliverables for their intended business purpose.

5.2 Third-Party Components

Some deliverables may incorporate third-party software, themes, plugins, or licensed assets. The Client's use of such components is subject to the applicable third-party license terms. TCN Holding will disclose any significant third-party components used in the project.

5.3 TCN Holding Proprietary Systems

All proprietary methodologies, frameworks, templates, and tools developed by TCN Holding remain the exclusive property of TCN Holding. The Client may not resell, sublicense, or redistribute TCN Holding's proprietary systems without prior written consent.

5.4 Portfolio Rights

TCN Holding reserves the right to display completed work in its portfolio and marketing materials. If the Client wishes to restrict this right, they must notify TCN Holding in writing before project completion.

6. Payment

6.1 Payment Schedule

Payment terms are as specified at checkout. For packages requiring a deposit, work will not commence until the deposit is received. Final deliverables will not be released until full payment is confirmed.

6.2 Invoicing

All invoices, receipts, and payment descriptors will use the exact package name as shown on the TCN Holding website. This ensures complete consistency between the purchased service and all financial records.

6.3 Late Payment

If payment is not received within 10 business days of the due date, TCN Holding reserves the right to suspend work until payment is received. Suspended projects may be subject to a restart fee.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project. TCN Holding will not share Client business information, content, or data with third parties except as necessary to deliver the services or as required by law.

8. Limitation of Liability

TCN Holding's total liability under this Agreement shall not exceed the total amount paid by the Client for the specific service giving rise to the claim. In no event shall TCN Holding be liable for indirect, incidental, consequential, or punitive damages. TCN Holding does not guarantee specific business outcomes, search engine rankings, revenue results, or AI system performance.

9. Termination

Either party may terminate this Agreement with written notice. Termination by the Client is subject to the Refund & Cancellation Policy. TCN Holding may terminate this Agreement immediately if the Client violates these terms, provides false information, or uses our services for prohibited purposes.

10. Governing Law

This Agreement is governed by the laws of the State of Florida. Any disputes shall be resolved in the courts of Miami-Dade County, Florida. The parties agree to attempt good-faith resolution before initiating legal proceedings.
